Under the Corporate Transparency Act passed by the US Congress and administered by the Financial Crimes Enforcement Network (FinCEN), most small corporations and LLCs formed or registered in the US must report details regarding the individuals who ultimately own or control the business.
A beneficial owner is any individual who, directly or indirectly, exercises substantial control over a reporting company (such as senior officers or managers) OR owns or controls at least 25% of the company's total ownership interests.
Companies created before January 1, 2024 must file by January 1, 2025. Companies registered during 2024 must file within 90 calendar days of creation. Companies registered in 2025 or later have 30 calendar days to complete their initial report.
If there is any change to the reported information (such as an owner's residential address, a new passport number, or an ownership percentage shift), an updated report must be submitted to FinCEN within 30 calendar days of the change. We assist clients with ongoing update tracking.
Federal regulations establish civil penalties of up to $500 per day for each day a violation continues, in addition to potential criminal penalties including fines up to $10,000 and imprisonment for willful failure to report or fraudulent statements.
